Missouri Business & Commercial Law
Springfield Business Attorneys Serving Missouri for Over 100 Years
Business and commercial law is how the firm got its start over 110 years ago and it remains a mainstay of Neale & Newman, L.L.P. Experience from representation of past clients makes us more effective for you. No matter your transaction, you want certainty of terms, an efficient closing, and effective handling. The following types of agreements are some examples of what we commonly negotiate and prepare, though certainly not all we do.
Construction Contracts
We commonly prepare construction contracts and pay careful attention to matters such as prompt pay and retainage, indemnification, lien rights and waivers, environmental issues, warranties, liquidated damages, forum selection and bankruptcy issues. We also have a robust general real estate and construction law practice that encompasses transactional work and litigation.
Sales and Mergers
We frequently represent clients in the mergers and sales of business assets. This representation has spanned a wide range of industries with a recent emphasis in medical industries and with the sale of digital information. Issues here commonly include security and escrow covenants, disclosure of claims, liens and security interests, obligations and payment to brokers, listing of trademarks and copyrights, non-competition covenants, consulting agreements, asset inspections, UCC and related searches, and procedures for closing. Real Estate Employment and Severance Agreements
We have handled real estate transactions throughout southwest Missouri and sometimes in more remote locations. These transactions commonly require handling concerning title reviews, section 1030 exchanges, title insurance, surveys, zoning, structure viability and environmental inspections, review of subdivision plats, restrictive covenants, leases, historical and proforma financial statements, recent operating expense, recent/pending litigation, liability insurance, and recent property management. Employment and Severance Agreements
We also prepare employment and severance agreements. Issues about these typically include compensation, equity shares (right to ownership in a business), the scope and obligations of employment duties, covenants of loyalty, non-competition and non-solicitation, confidentiality of proprietary interests and electronic information, grounds and procedure for termination, security interests for future wage/benefit payments and alternative dispute resolution or forum selection. This work is an element of our larger employment law practice.
Family Law for Small Business Owners
There are also situations in which pre-nuptial, post-nuptial, and separation agreements are necessary. Issues will commonly include title to existing property and during pre-marital cohabitation, the payment of normal living expenses, insurance coverage for medical/dental treatment and expenses, the payment of taxes and filing of tax returns, sharing/division of income, retirement benefits, gifts, distribution of property upon separation/divorce, the payment of child support and for necessary expenses, and confidentiality. In these matters, our firm offers you the benefit of collaboration between experienced practitioners in both business and family law.
As you can see, our firm has extensive experience representing the southwest Missouri business community. Ask around, and we expect you will place your confidence in us.
